Job description
The Company Secretary will be responsible for ensuring statutory and regulatory compliance under theCompanies Act, RBI guidelines applicable to NBFCs, and other relevant laws. The role requires closecoordination with management, external authorities, and regulatory bodies to ensure smooth governanceand compliance operations.
Statutory & Regulatory Compliance
• Ensure compliance with the Companies Act, 2013, SEBI guidelines (if applicable), and RBI regulationsspecific to NBFCs.
• Prepare, maintain, and file statutory forms, returns, and registers with MCA, RBI, and other authorities.
• Monitor changes in legislation and ensure timely implementation within the organization.
Board & Shareholder Meetings
• Organize and coordinate Board, Committee, and General Meetings.
• Prepare agenda, notices, resolutions, meeting minutes, and related documentation.
• Maintain statutory records, minutes registers, and meeting documentation.
Corporate Governance
• Advise the management and Board on best practices of corporate governance.
• Ensure transparency, accountability, and compliance across operational processes.
• Support board evaluations, director appointments, and governance audits.
RBI Compliance & Reporting
• Prepare and submit mandatory RBI returns, compliance reports, financial filings, and regulatorysubmissions.
• Ensure adherence to NBFC Master Directions and regulatory guidelines.
• Liaise with auditors and authorities during regulatory inspections and audits.
Policy & Documentation
• Draft and update internal policies, SOPs, compliance manuals, and governance frameworks.
• Maintain important company documents including share certificates, agreements, and board resolutions.
Liaisoning & Coordination
• Coordinate with auditors, legal advisors, government departments, and regulatory bodies.
• Represent the company during inspections, compliance reviews, and legal proceedings when required.
Key Skills & Competencies
• Strong knowledge of Companies Act, 2013, NBFC regulations, and RBI guidelines.
• Excellent drafting, documentation, and reporting skills.
• Ability to handle multiple regulatory deadlines and governance workloads.
• Strong communication and stakeholder management skills.
• Detail-oriented with high integrity and commitment to compliance.Qualification
Experience 2- 4 yrs.
• CS certification from ICSI (Preferred).
• Additional qualifications like LLB/MBA (Finance) would be an advantage.
• Prior experience working with an NBFC or financial institution preferred.
